END USER LICENCE AGREEMENT

ANY USE OF THE GAME MEANS THAT YOU HAVE READ AND UNDERSTOOD THE PROVISIONS OF THIS END USER LICENCE AGREEMENT (HEREINAFTER – THE EULA) AND THE PRIVACY POLICY AND AGREE TO BE BOUND BY THEM. THE PRIVACY POLICY IS AN INTEGRAL PART OF THE EULA.
WARNING: THE GAME OFFERS IN-GAME PURCHASES.
1. General Provisions
- Licensor – Infinite LLC (brand “Social Infinite”), a company registered in the Russian Federation.
- Game – the software program “Clash of Heroes” (Russian title – «Битва Героев»), an individual copyrighted work: an online strategy game with hero battles, available through the Website, social networks and gaming platforms (hereinafter together – the “Platforms”).
- Website – the official website of the Game operated by the Licensor, including its subdomains, where the Game can be played directly in a browser.
- Developer – a company whose employees have created the Game as a part of their working duties.
- Platform – the Website, an online social network (VK, Odnoklassniki, Facebook, etc.), a gaming portal or an app store through which the User accesses the Game. Each Platform is operated by its own administration under its own terms, which the User accepts separately.
- Account – the User’s personal record used to access the Game. On the Website an Account is created by e-mail and password or by signing in with a supported third-party service (e.g. Google); the User may also play as a guest – a temporary Account tied to the User’s browser that can later be transferred to a full Account. On other Platforms the Account is the User’s account provided by that Platform’s administration.
- User – any person having an Account and using the Game. If the Account was provided for a fictitious person, the User shall be deemed to be the person that actually uses the Account for accessing the Game.
- Content – video and audio materials, images, texts, characters, storylines and other materials created by the Developer for or in connection with the Game.
- Game Supplemental Functionality – software codes processed on an electronic device as a part of the Game and intended to provide the User with additional functions of the Game. The Game Supplemental Functionality operates in the form of Virtual Goods posted to the User’s game account for a fee.
- Virtual Goods – software codes processed as in-game objects that the User acquires while performing certain actions within the Game or for a fee. Virtual Goods can be used within the Game exclusively; they have no real value and cannot be exchanged for non-game (“real”) currency or property. Virtual Goods include, among other things:
- in-game currencies (e.g. “Gold”, “Gems”);
- heroes, hero shards, equipment, artifacts, skins and other in-game items;
- experience points, ranks, ratings and progress that reflect the User’s advancement within the Game;
- energy, keys, tickets and other points used to perform actions in the Game;
- chests, bundles, passes and subscriptions granting access to the above.
- In-game Purchase – purchase of Virtual Goods made from within the Game or on the Website. Payments are processed by the payment services of the respective Platform or by third-party payment providers; the Licensor does not receive or store the User’s bank card details.
- Legislation – legislation of the Russian Federation.
The User confirms that he or she is at least 13 (thirteen) years old. The User confirms that under the law of the state of his or her nationality he or she:
- is eligible to conclude the EULA either himself or herself or with parental consent, given by a parent or a guardian;
- has obtained parental consent, given by a parent or a guardian, for concluding the EULA (if necessary);
- has legal capacity necessary for exercising rights and performing duties under the EULA.
The Game is provided to the User “as is”. The Licensor does not give any warranties that the Game, including the Game Supplemental Functionality:
- will function uninterrupted and without any errors;
- will always be available for the User;
- will meet the User’s expectations.
The Licensor, his affiliates and subsidiaries shall not be liable for personal injury, or any other incidental, special, indirect or consequential damages whatsoever caused to the User (including, but not limited to, damage caused to the User’s property or proprietary rights) as the result of using the Game or inability to use the Game. The Licensor, his affiliates and subsidiaries shall not be liable for any aspects of the functioning of Platforms and third-party services (prohibition of access, failures and breakdowns, etc.) or any actions taken by their administrations.
The Licensor grants the User a non-exclusive non-transferable revocable licence to use the Game and the Content free of charge as set forth in this EULA.
The Licensor may change any provision of the EULA at any time at his sole discretion. The current version is always published on the Website. Continued use of the Game after a change has been made shall constitute the User’s consent to be bound by the updated provisions of this EULA.
The Licensor provides the User with the right to use the Game Supplemental Functionality. The duty to provide the User with the right to use the Game Supplemental Functionality is considered performed after the respective amount of Virtual Goods is posted to the User’s game account for a fee.
2. Warning for Parents or Guardians
- The Game offers the Game Supplemental Functionality, which is provided to the User upon his or her request for a fee (in-game purchase). The User is not obliged to use the Game Supplemental Functionality; in this case no money will be debited from the User’s account.
- By using the Game the User confirms that he or she is eligible to use the Game, including the Game Supplemental Functionality. Parents or guardians of a User who is under legal age shall control his or her use of the Game (as well as the Game Supplemental Functionality).
- The Licensor shall not be liable for any actions of the User within the Game, including use of the Game Supplemental Functionality.
3. The User’s Rights and Duties
- The User shall perform the EULA in good faith.
- The User is entitled to perform actions covered by the technical capabilities or logic of the Game. Such actions include, but are not limited to:
- managing heroes, squads and the User’s in-game base;
- collecting Virtual Goods;
- acquiring Virtual Goods for in-game currency;
- using the Game Supplemental Functionality;
- interacting with other Users in guilds, chats and battles.
- The User is entitled to inquire the Licensor with regard to defective Game functioning (technical failures, etc.) if such defective functioning is not caused by the User’s actions; peculiarities of hardware and software used by the User; quality of the Internet connection; operation of the Platform, as well as other circumstances that the Licensor is not responsible for. The Users’ inquiries shall be sent to the e-mail clashofheroessupport@staff.social-infinite.com.
- The User is responsible for keeping the credentials of his or her Account (e-mail, password, linked third-party sign-in) confidential. A guest Account is stored in the User’s browser only; clearing browser data without transferring the guest progress to a full Account may result in irreversible loss of such progress, for which the Licensor is not liable.
4. The User Must Not
- examine the Game source code, modify or amend it, create new works on its basis;
- mislead the Licensor (in particular over the personality of the User, his or her age, scope of legal capacity, etc.);
- pass the login and password of the Account to third parties;
- provide third parties (including, but not limited to, family members) with a possibility to access the Game with the User’s Account. Under no circumstances is the Licensor responsible for any unauthorized use of the User’s Account;
- use the Game in any way that interferes or may interfere with normal Game functioning;
- use bots (computer programs intended for performance of certain actions within the Game for and on behalf of the User), cheats (codes embedded in the Game for getting additional advantages within the Game not provided for by the concept and logic of the Game), as well as any other computer programs and/or technical means that interfere with normal Game functioning and/or are aimed at getting additional advantages within the Game which are not provided for by the rules, logic or technical capabilities of the Game;
- make use of defects of the Game functioning whether such use results in additional advantages obtained within the Game or not;
- engage in dishonest (unsporting) behaviour. Dishonest (unsporting) behaviour means any type of actions that are aimed at getting additional advantages within the Game (including extremely rapid advancement) in contravention of the concept of the Game, generally accepted rules of sportsmanship and participant conduct;
- sell, buy, exchange or transfer Accounts and Virtual Goods for real money or property outside the Game;
- post in the Game (names, chats, guild descriptions, etc.) content that is illegal, offensive, discriminatory, pornographic, infringing third-party rights or otherwise violating the Legislation or generally accepted norms.
5. The Licensor Is Eligible To
- limit the Game functionality fully or partially at his sole discretion (including, but not limited to, withdrawing the Game from any Platform). The Licensor is not obliged to notify the User of any limitation of functionality and is not liable for any damage caused to the User as the result of limitation of the Game functionality;
- process information about the User’s activity within the Game (including, but not limited to, actions taken and objects collected within the Game, in-Game progress, use of Game Supplemental Functionality);
- issue a warning to the User regarding the violation of this EULA or immediately terminate or suspend any or all Accounts that are used by the User for accessing the Game in case of violation of the terms of the EULA. The Licensor is not obliged to notify the User prior to such termination or suspension;
- change at his sole discretion any and all Game parameters (as well as characteristics of Virtual Goods), including without limitation:
- value of Virtual Goods, expressed in in-game currency;
- the amount of fee to be paid for use of the Game Supplemental Functionality;
- the way to determine the User’s advancement within the Game and earning experience points;
- characteristics and balance of heroes, items and game modes;
- logic and technical capabilities of the Game;
- ways to access the Game;
- exercise other rights in accordance with the EULA and Legislation.
6. Transfer of Information about Offences
In case the Licensor learns about the User’s illegal activity, he has the right to inform law enforcement authorities about violations of the Legislation committed by the User and to pass to law enforcement authorities all available information about such violations. Should the Licensor receive a respective enquiry he is also entitled to pass such information to law enforcement authorities or other organizations that are eligible for obtaining such information under the Legislation.
7. Intellectual Property
- The Game and the Content are copyrighted works.
- The copyright for the Game and the Content belongs to the Licensor. All rights reserved.
- The User acknowledges that he or she does not acquire any ownership rights by using the Game.
- The Licensor grants the User a non-exclusive, revocable, limited scope licence to use the Game as intended (to run the Game; to perform actions provided for by the technical capabilities and logic of the Game; to reproduce the Content on the User’s personal page on a social network when “sharing” materials from the official pages of the Game or the Game itself).
- The User is not allowed to use the Game in any other way, for example, to rent, lease, lend, upload to or host on any website or server, sell, redistribute, sublicense, copy, decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Game, any updates, or any part thereof.
- The User is not allowed to make any commercial use of the Game.
- The User is not allowed to transfer this licence to any third party or sublicense third parties for use of the Game or Content.
- This licence also covers all updates and/or additional components of the Game or Content which will be created and provided to the User in future.
- Any data, text, graphics, photographs or other copyrighted objects, as well as their selection and arrangement (hereinafter “User Content”) uploaded by the User to the Game or created within the Game are subject, whether in whole or in part, to unlimited non-commercial and/or promotional use by the Licensor. The User grants the Licensor a non-exclusive free licence to use the User Content in any way specified for 5 years. The term of this licence shall be automatically prolonged if the User does not notify the Licensor about the willingness to terminate it after expiration of a 5-year term. The User takes full responsibility and the Licensor takes no responsibility for the User Content and its compliance with all applicable laws. The User agrees to hold the Licensor harmless of any claim from any third party with regard to the User Content.
8. Epilepsy Warning
- Visual effects of the Game, especially flashes of light and animated effects, may cause an epileptic seizure. A person may have an epileptic seizure even if he or she has no medical history of epilepsy.
- The User shall immediately stop using the Game and consult a medical professional if the following symptoms arise:
- sudden groundless anxiety or fear;
- involuntary body movements, tingling;
- auditory or visual hallucination;
- clouding of consciousness.
- Parents (guardians) of a User who is under legal age shall monitor his or her health while he or she is using the Game.
9. Termination
The EULA is effective until terminated by the User or the Licensor. The User’s rights under this EULA will terminate automatically without notice from the Licensor if the User fails to comply with any term(s) of this EULA. Upon termination of the EULA, the User shall cease all use of the Game. The User may delete his or her Account at any time by contacting the Licensor at the e-mail address above; Virtual Goods and progress associated with a deleted Account are not refundable.
10. Final Provisions
- The EULA and all annexes thereof are regulated by the law of the Russian Federation.
- Invalidity of any provision of the EULA invalidates neither the EULA as a whole, nor other provisions thereof.
- All disputes arising out of the EULA (including, but not limited to, disputes over the invalidity of the EULA, as well as disputes over interpretation and performance of the EULA) shall be settled by state courts of the Russian Federation.
- If a dispute defined in clause 10.3 of the EULA is submitted to the court, the winning party is entitled to all reasonable damages connected to the court proceedings (including legal costs).
- The User hereby consents to, and waives all defences of lack of personal jurisdiction and forum non conveniens with respect to, the venue and jurisdiction specified.
- Non-performance of any provision of the EULA either by the Licensor or by the User does not constitute a refusal to perform such provision at present or in future, neither does it deprive the other party of the right to demand performance of such provision.
